The present general terms and conditions of sale, set out as a public offer agreement (hereinafter the "Agreement"), apply to any distance sale of jewellery, accessories, gift cards and other goods bearing the "Scematique" name (hereinafter the "Products", and each of them a "Product") through the official online store scematique.com (hereinafter the "Website").
The Products are sold on the Website under the name Scematique by the individual entrepreneur (FOP) Olena Arseniivna Mikhailutsa, whose details are set out at the top of this Agreement (hereinafter the "Seller"), on the terms of this Agreement and in compliance with the applicable law of Ukraine.
1. Seller's commercial policy
1.1 The Seller offers for sale the Products available on the Website and sells them through the Website exclusively to consumers, i.e. natural persons buying Products for personal purposes not related to any business activity or employment (hereinafter the "Customers", and each of them a "Customer"). Sales to persons buying Products for resale, or to intermediaries acting in the name and on behalf of such persons, are excluded.
1.2 Only persons who are at least 18 (eighteen) years old and have full legal capacity may place Orders on the Website. A person aged 14 to 18 may place an Order only with the consent of their parents or other legal representatives. Any person who does not meet the conditions of paragraphs 1.1 and 1.2 is invited to refrain from placing any Order on the Website.
1.3 The Seller delivers within Ukraine and to the countries listed at checkout. The Seller does not deliver to the Russian Federation or the Republic of Belarus.
1.4 The Seller may decline to accept or perform an Order if the Customer does not meet the conditions of this section, and in the cases set out in paragraph 5.5.
2. Subject matter and legal basis
2.1 This Agreement is the Seller's public offer to conclude a distance sales contract for the Products under Articles 633, 641 and 642 of the Civil Code of Ukraine, the Law of Ukraine "On Electronic Commerce" and the Law of Ukraine "On Consumer Protection".
2.2 Under this Agreement, the Seller undertakes to transfer to the Customer the Products specified in the Order, and the Customer undertakes to pay for and accept them on the terms of this Agreement.
2.3 In this Agreement, the following terms are used:
(a) "Order" — a Customer's request to buy one or more Products, duly placed on the Website;
(b) "Pre-order" — an Order for a Product that is made or assembled after the Order is placed;
(c) "Business days" — Monday to Friday, excluding public holidays and non-working days established by the law of Ukraine.
2.4 The Refund Policy, the Shipping Policy and the Privacy Policy form an integral part of this Agreement. In case of discrepancies between them and this Agreement, this Agreement prevails.
2.5 By placing an Order, the Customer confirms having read and accepted in full this Agreement and the documents listed in paragraph 2.4.
3. Product information
3.1 The main characteristics of each Product, including material, plating, dimensions and price, are set out on the Product's page on the Website. Sizing information is also available in the size guide.
3.2 Jewellery is handmade in Ukraine from 925 sterling silver with rhodium plating or 18-carat gold plating; some elements may be brass. Leather accessories are made of calfskin. The exact composition is stated in each Product description.
3.3 Because pieces are handmade, minor variations in texture, shade and size may occur without affecting quality. Product photographs are for illustration, and colours on screen may differ from the actual Product depending on device settings. Such variations are not defects.
3.4 Products are offered for sale while stocks last. Availability is shown on the Website. If a Product is out of stock, the Customer may place a Pre-order where the Product page allows it, or leave an email address to be notified when the Product is available again.
3.5 Care instructions are available on the Product care page.
4. Prices
4.1 Prices are shown on the Website in Ukrainian hryvnia (UAH) and include all taxes required by Ukrainian law.
4.2 The shipping cost is not included in the Product price. It is calculated under the Shipping Policy and shown separately at checkout before the Order is confirmed. Shipping within Ukraine is free for Orders from UAH 3,000.
4.3 The Seller may change prices on the Website at any time. The price of a Product is fixed at the moment the Order is placed and does not change after confirmation.
4.4 If a Product price on the Website is obviously wrong because of a technical error, the Seller notifies the Customer. The Customer may confirm the Order at the correct price or cancel it for a full refund.
5. Placing an Order
5.1 To place an Order, the Customer:
(a) selects the Product, its size or colour where applicable, and adds it to the cart;
(b) proceeds to checkout and enters their contact details and delivery address or branch;
(c) chooses the delivery method and the payment method;
(d) reviews the Order, the price of the Products, the shipping cost and the total, and corrects any errors;
(e) confirms the Order and pays for it.
5.2 The Customer is responsible for the accuracy and completeness of the details provided at checkout. The Seller is not liable for delay or failure of delivery caused by incorrect details.
5.3 The Agreement is concluded once payment is received or the bank approves "Покупка частинами". The Seller emails the Customer an Order confirmation stating the Order number, the Products, their prices, the shipping cost and the total.
5.4 The Customer is advised to keep the Order confirmation. The Order number is needed for customer service requests, returns, exchanges and warranty service.
5.5 The Seller may decline an Order if the Product is out of stock, if there is a technical error in its price or description, if fraud is suspected, or if the Customer does not meet the conditions of section 1. In that case the Seller notifies the Customer and refunds all amounts received in full.
6. Payment
6.1 The Customer may pay for the Order by one of the following methods:
(a) card payment on the Website — via hutko;
(b) "Покупка частинами (monobank)" instalments — 3 to 12 payments on the terms of JSC Universal Bank. The bank decides whether to approve the instalment plan. The Order is considered paid once the bank approves it;
(c) payment link — the Seller sends the Customer a card payment link within 2 (two) hours during business hours. The link is valid for 24 (twenty-four) hours.
6.2 The Seller does not receive or store payment card details. Such details are processed exclusively by payment providers and the bank over a secure connection.
6.3 Orders that are not paid within 24 (twenty-four) hours of being placed are cancelled automatically.
6.4 After payment, the Seller provides the Customer with a receipt as required by law.
6.5 Gift cards are digital. The code is emailed to the recipient. A gift card is valid for 1 (one) year from the date of purchase and may be used to pay for Products on the Website.
7. Pre-orders
7.1 Pre-orders are paid in full at checkout. They are made and shipped within 7–14 Business days of payment, unless the Product page states otherwise.
7.2 If the Seller cannot ship within that time, the Seller notifies the Customer of the new date. The Customer may accept it or cancel the Order for a full refund.
8. Delivery
8.1 Delivery methods, times and costs are set out in the Shipping Policy. Orders for Products in stock placed before 12:00 are shipped within 1–3 Business days.
8.2 Once the Order ships, the Seller emails the Customer a tracking number.
8.3 Ownership of the Product and the risk of its accidental loss or damage pass to the Customer upon receipt.
8.4 The Customer inspects the parcel on collection. If the packaging is damaged, the Customer files a report with the carrier and notifies the Seller within 2 (two) days of receipt, with photos.
8.5 Any customs duties, import taxes and fees in the destination country that apply to international shipments are paid by the recipient.
9. Cancellation, returns and exchanges
9.1 The Customer may cancel an Order before dispatch by emailing info@scematique.com with the Order number, and will receive a full refund.
9.2 The Customer may withdraw from the purchase of Products of proper quality within 14 (fourteen) days of receipt. The terms and procedure are set out in the Refund Policy. Requests can be submitted through the return request form or by email to info@scematique.com.
9.3 Jewellery made of precious metals (925 sterling silver) of proper quality cannot be returned under the list approved by Resolution No. 172 of the Cabinet of Ministers of Ukraine of 19 March 1994. As a goodwill policy, the Seller allows such pieces to be exchanged for another size or colour under the Refund Policy.
9.4 Refunds are made within 30 (thirty) days of the Seller's receipt of the returned Product, using the original payment method. The Customer pays for shipping returns and exchanges, except where the Product is defective or was sent in error.
10. Quality and warranty
10.1 The Seller guarantees that the Products match their description on the Website and meet the quality requirements of the law.
10.2 Jewellery has a warranty of 1 (one) year from the date of receipt. It includes free professional cleaning and polishing, and repair of manufacturing defects. Repair of accidental damage is at the Seller's discretion. See the Warranty page for details.
10.3 The warranty does not cover:
(a) natural wear of plating;
(b) scratches or deformation from use;
(c) damage caused by not following the care instructions, contact with chemicals or mechanical impact.
10.4 To make a warranty claim, the Customer emails info@scematique.com with the Order number and detailed photos of the piece.
10.5 If a Product is defective, the Customer has the rights under Article 8 of the Law of Ukraine "On Consumer Protection": free repair, replacement, a price reduction or a refund. This Agreement does not limit those rights.
11. Complaints
11.1 Complaints about Products and Orders are sent to info@scematique.com, stating the Order number and the nature of the complaint. The Seller replies within 14 (fourteen) calendar days unless the law sets a shorter period.
12. Rights and obligations of the parties
12.1 The Seller shall:
(a) deliver Products of proper quality within the times set out in the Agreement;
(b) provide the Customer with an Order confirmation and a receipt;
(c) respond to the Customer's requests within the time set out in paragraph 11.1;
(d) process the Customer's personal data in accordance with the Privacy Policy.
12.2 The Customer shall:
(a) provide accurate details for the Order and delivery;
(b) pay for the Order as set out in section 6;
(c) accept the Products and inspect them on receipt.
12.3 The Seller may change prices and the range of Products on the Website. Such changes do not affect Orders already paid.
13. Liability and force majeure
13.1 The parties are liable for breach of this Agreement under Ukrainian law. Nothing in this Agreement limits the Customer's rights under consumer protection law.
13.2 Neither party is liable for failure to perform caused by force majeure, including martial law and hostilities, air raid alerts, power outages, government decisions, and carrier or bank disruptions. Deadlines are extended for the duration of such circumstances. The Seller notifies the Customer of any delay.
14. Intellectual property
14.1 All Website content, including product designs, photographs, texts, the Scematique name and logo, is protected by Ukrainian copyright and intellectual property law.
14.2 Buying a Product does not grant the Customer any right to use this content. It may not be used without the Seller's written consent.
15. Personal data
15.1 By placing an Order, the Customer consents to the processing of personal data for the performance of this Agreement, as described in the Privacy Policy.
15.2 Marketing emails are sent only with the Customer's separate consent. The Customer may unsubscribe at any time using the link in the email.
16. Applicable law and disputes
16.1 This Agreement is governed by the law of Ukraine.
16.2 The parties settle disputes through negotiation. The Customer sends a complaint as set out in paragraph 11.1.

17. Final provisions
